Mr. Kernan is the Managing Member for the Company.  Since 1992, Mr. Kernan has practiced law as an attorney in the U.S. Army Judge Advocate General's Corps, on detail to the Department of Justice, and as federal civilian attorney in the Department of Homeland Security, Citizenship and Immigration Service (USCIS). He has occupied a number of managing legal positions and his legal practice has focused on a broad array of areas including contract, fiscal, privacy, immigration, and employment law. Most recently, Mr. Kernan served as the Chief Transformation Counsel for USCIS. In 2006, Mr. Kernan deployed as an Army reservist to Baghdad where he was the Chief of Procurement and Fiscal Law for the Multi-National Corps-Iraq. While in this position, he supervised a team of attorneys providing legal advice to the command responsible for the majority of contracting in Iraq. In his many years of work doing complex litigation, he has built teams of attorneys and experts to successfully manage and execute cases. Mr. Kernan worked for three years at the Army's Contract Litigation Division where he litigated contract administration disputes before the Armed Services Board of Contract Appeals and General Services Board of Contract Appeals. The cases involved a full range of contract disputes involving multi-million dollar claims. He also litigated bid protests involving the award of a variety of government contracts before the Government Accountability Office.

Mr. Uhlenhake is currently a Member and a senior manager for the Company. He is jointly responsible for overseeing all aspects of the initial start-up and operation of the Company. He is a Program Management and Information Technology professional with over 22 years of experience in Systems and Program Management supporting the Federal government and commercial clients. He has extensive experience in systems acquisition, strategic and program planning, computer systems management, project management, configuration management, programming and operational procedures writing. Mr. Uhlenhake possesses a detailed understanding of Federal Information Systems regulations and policies including but not limited to, Clinger-Cohen Act of 1996, OMB A-130, OMB Budget Directives, Computer Security Act of 1987, Privacy Act of 1974, Information Technology Reform Act, and National Institute of Standards Technology (NIST) guidelines. In addition, Mr. Uhlenhake has extensive knowledge and experience in contract formation and administration, privacy, immigration services and border enforcement. Mr. Uhlenhake provided leadership on the effort by US Citizenship and Immigration Services to digitize its paper Alien Files (A-File) and the award of the Transformation Solution Architect contract. He provided advice and guidance on developing concepts of operations, business cases, and other required System Development Life Cycle documentation. Mr. Uhlenhake served as a senior Program Management Analyst leading the effort for US-VISIT to establish a governance structure for the program.
